The Articles of the company should be complied with in this regard. In case the Articles are silent, the Chairman shall have a second or casting vote, in case of an equality of votes. Second or Casting Vote in such cases to the Chairman is also allowed by the Model Articles under the Act[Article 68 (ii) of Table F].
